Each unit consists of one common share and one share purchase warrant. Each warrant entitles the holder to purchase one additional share.

The corporation paid finders fees consisting of a cash payment and 18,690 non-transferable warrants.

The proceeds from the offering will be for general corporate purposes and as a reserve to pursue the potential acquisition of an international oil and gas property.
