Bucephalus (BCA) has entered into a service agreement with Ninepoint Partners as well as an LOI to acquire Layer2 Blockchain.
Ninepoint Partners Agreement
The agreement with Ninepoint Partners is through its Ninepoint Digital Asset Group division.
Through this partnership, Ninepoint will provide Bucephalus with ongoing marketing and strategic advice, assist with the corporate development of planned investment opportunities and provide introductions to prospective business contacts.
Ninepoint will earn C$25,000 per month and be issued 5,000,000 performance warrants exercisable for common shares priced at $0.35 each.
The warrants will expire on the earlier of 3 years or a date that is 90 days after Ninepoint ceases to provide services to the company.
Layer2 Blockchain Acquisition
Bucephalus has also entered into a non-binding letter of intent to acquire Layer2 Blockchain, a company that manages capital, technology and infrastructure in the decentralized finance sector with a focus on scalable layer two DeFi protocols.
Advisory Committee
In addition, Bucephalus has established an Advisory Committee to serve as a strategic resource for the company and has appointed Alex Tapscott as its Chair.
Tapscott is Managing Director of Ninepoint Partners’ Digital Asset Group. He is also the co-author of the critically-acclaimed bestseller, Blockchain Revolution.

Private Placement
Bucephalus intends to complete a non-brokered private placement for gross proceeds of up to $3 million.
The company will issue up to 10,000,000 units at $0.30 per unit.
Each unit will consist of one common share and one common share purchase warrant.
Each warrant is exercisable into one common share priced at $0.50 for a period of 36 months from the closing date.
